Welcome to memv, an AI-powered multimodal memory infrastructure platform. These Terms and Conditions (“Terms”) govern your access to and use of the memv.ai website, APIs, dashboards, and related services (collectively, the “Service”).

The Service is operated by THE HUMAN & MEMORY INC. (“Company”, “we”, “us”, or “our”).
For clarity, “memv” refers to the product and platform operated by THE HUMAN & MEMORY INC.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please discontinue use immediately.

1. Use of the Service

You must be 18 years or older to use memv.

By using the Service, you represent and warrant that:

• You meet the age requirement

• You have the authority to enter into these Terms

• Your use of the Service complies with all applicable laws and regulations

You may not use the Service for any unlawful, harmful, or unauthorized purpose, including but not limited to:

• Violating privacy, data protection, or intellectual property rights

• Uploading, storing, or processing content without proper permissions or legal authority

• Attempting to reverse engineer, exploit, disrupt, or misuse the Service

2. Accounts & Security

To access certain features—such as creating memory spaces, ingesting video or audio, or programmatically calling APIs—you may be required to create an account.

You are responsible for:

• Maintaining the confidentiality of your login credentials

• All activity that occurs under your account

THE HUMAN & MEMORY INC reserves the right to suspend or terminate accounts that exhibit suspicious, abusive, or unauthorized behavior.

3. Subscriptions & Payment

memv offers paid subscription plans (“Subscriptions”) that provide access to advanced features, which may include:

• Higher ingestion and processing limits

• Long-term or persistent memory storage

• Organization and workspace management

• API-based memory ingestion and retrieval

Subscriptions are billed on a monthly or annual basis, depending on the selected plan. Payments are processed securely through third-party payment providers.

• All fees are non-refundable, except where required by law

• You may cancel your Subscription at any time; access will remain active until the end of the current billing period

• Failure to pay applicable fees may result in suspension, downgrade, or termination of access

4. Ownership & Intellectual Property

All content, features, models, systems, software, branding, and technology underlying the Service—including memory embeddings, interfaces, pipelines, and visual assets—are owned by THE HUMAN & MEMORY INC or its licensors.

You may not:

• Copy, distribute, sell, sublicense, or modify any part of the Service

• Use any trademarks, logos, or brand assets of THE HUMAN & MEMORY INC or memv without prior written consent

• Use the Service or its outputs to train, develop, or enhance a competing model, dataset, or memory platform

All content uploaded to the Service, including videos, audio, documents, and metadata, remains the property of the user.

By using the Service, you grant THE HUMAN & MEMORY INC a limited, non-exclusive, royalty-free license to process, store, and analyze such content solely for the purpose of providing, maintaining, and improving the Service.

5. Termination

THE HUMAN & MEMORY INC may suspend or terminate your access to the Service immediately and without prior notice if:

• You violate these Terms

• Your payment method fails or remains unpaid

• You engage in activity that is harmful, abusive, unlawful, or poses a security risk

You may terminate your account at any time through your account dashboard or by contacting us.

Upon termination:

• Your right to access and use the Service will immediately cease

• THE HUMAN & MEMORY INC may delete your stored memories, media, and associated data after a reasonable retention period, unless legally required to retain such data

6. Limitation of Liability

To the maximum extent permitted by applicable law, THE HUMAN & MEMORY INC shall not be liable for:

• Loss of data, revenue, profits, or business opportunities

• Indirect, incidental, special, punitive, or consequential damages

• Errors or disruptions caused by third-party services, integrations, or infrastructure providers

The total liability of THE HUMAN & MEMORY INC for any claim arising out of or relating to the Service shall not exceed the amount paid by you to the Company in the three (3) months preceding the event giving rise to the claim.

7. Service Availability & Disclaimer

The Service is provided on an “AS IS” and “AS AVAILABLE” basis.

THE HUMAN & MEMORY INC makes no warranties or guarantees regarding:

• Continuous or uninterrupted availability

• Error-free operation or processing

• Accuracy, completeness, or reliability of extracted or retrieved memory

• Compatibility with all third-party tools, systems, or workflows

We reserve the right to modify, suspend, or discontinue any part of the Service, including experimental or beta features, at any time.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict-of-law principles.

9. Changes to These Terms

We may update these Terms periodically. When changes are made, the “Effective Date” at the top of this document will be updated.

Your continued use of the Service following the posting of updated Terms constitutes acceptance of the revised Terms.
