By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please discontinue use immediately.

1. Use of the Service

2. Accounts & Security

To access certain features—such as creating memory spaces, ingesting video, or programmatically calling APIs—you may need to create an account.

You are responsible for:

• Maintaining the confidentiality of your login credentials

• All activity that occurs under your account

We may suspend or terminate your account if we detect suspicious, abusive, or unauthorized activity.

3. Subscriptions & Payment

mem[v] offers paid plans (“Subscriptions”) that provide access to advanced features such as:

• Higher ingestion limits

• Long-term memory storage

• Organization workspaces

• API-based memory retrieval

Subscriptions are billed monthly or annually, depending on the chosen plan. All payments are processed securely through our payment partners.

• Fees are non-refundable, except where required by law

• You may cancel at any time; access remains active until the end of the billing cycle

• Failure to pay may result in account suspension or feature limitations

4. Ownership & Intellectual Property

All content, features, models, branding, and technology behind mem[v]—including memory embeddings, interfaces, and visual assets—are owned by mem[v]. or its licensors.

You may not:

• Copy, distribute, or modify any part of the Service

• Use our trademarks, visuals, or brand assets without written permission

• Train a competing model or dataset using mem[v] outputs

All user-uploaded videos, audio, documents, or metadata remain your property.
By using the platform, you grant mem[v] a limited license to process this content solely to provide the Service.

5. Termination

We may suspend or terminate your access to the Service immediately and without notice if:

• You violate these Terms

• Your billing fails

• You engage in harmful or suspicious activity

You may close your account at any time through your dashboard or by contacting us.

Upon termination:

• Your right to use the Service ceases

• We may delete your stored memories, videos, and associated data after a reasonable period

6. Limitation of Liability

To the fullest extent permitted by law, mem[v] shall not be liable for:

• Loss of data, revenue, profits, or business

• Indirect, incidental, punitive, or consequential damages

• Issues caused by third-party integrations or hosting providers

Our maximum liability for any claim shall not exceed the amount you paid us in the 3 months preceding the claim.

7. Service Availability & Disclaimer

mem[v] is provided on an “AS IS” and “AS AVAILABLE” basis.

We do not guarantee:

• Uninterrupted uptime

• Error-free processing

• Perfect accuracy of memory extraction or retrieval

• Compatibility with every third-party tool or workflow

We may roll out updates, experimental features, or service changes at any time.

8. Governing Law

These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law rules.

9. Changes to These Terms

We may update or modify these Terms at any time. When we do, we will update the “Effective Date” at the top of this page.

Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
